These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “User”, “you”, or “your”) and Thrin Check Limited, operating under the brand name ThrinServers (“ThrinServers”, “Company”, “we”, “our”, or “us”).

These Terms govern your access to and use of all ThrinServers products, websites, applications, cloud platforms, APIs, infrastructure services, support services, and related offerings, including but not limited to:

• Cloud Servers

• Virtual Private Servers (VPS)

• Dedicated Servers

• Object Storage Services

• Backup Services

• DNS Services

• Domain Registration Services

• Managed Hosting Services

• Email Hosting Services

• API Services

• Future products and services offered by ThrinServers

By creating an account, purchasing a service, accessing our systems, or using any ThrinServers service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. RELATED POLICIES

The following policies form part of these Terms and are incorporated by reference:

Where there is a conflict between these Terms and a specific service agreement, the specific service agreement shall prevail.

3. ELIGIBILITY

To use the Services, you must:

• Be at least eighteen (18) years old;

• Have legal capacity to enter into binding contracts;

• Not be prohibited from receiving services under applicable laws;

• Provide accurate registration information;

• Comply with all applicable laws and regulations.

If you are acting on behalf of a company, partnership, government agency, nonprofit organization, or other legal entity, you represent and warrant that you possess authority to bind such entity to these Terms.

4. ACCOUNT REGISTRATION

You are required to create an account to access certain Services.

You agree to:

• Provide accurate and complete information;

• Maintain current account information;

• Protect account credentials;

• Enable security features where available;

• Promptly notify us of unauthorized access.

You remain solely responsible for all activities performed through your account unless caused directly by our negligence or willful misconduct.

ThrinServers reserves the right to request identity verification, Know Your Customer (KYC) documentation, proof of ownership, or additional information where necessary for fraud prevention, security, regulatory compliance, or service delivery.

5. SERVICES

ThrinServers provides cloud infrastructure and related technology services on an “as available” basis.

Service features, specifications, capacities, pricing, technologies, and resource allocations may evolve as part of normal platform development.

We reserve the right to:

• Introduce new services;

• Modify existing services;

• Upgrade infrastructure;

• Retire obsolete products;

• Implement security measures;

• Improve platform performance.

Where material changes significantly affect a Service, reasonable notice will be provided whenever practicable.

6. CUSTOMER RESPONSIBILITIES

You are solely responsible for:

• Applications deployed on our infrastructure;

• Content uploaded to our systems;

• Databases and backups;

• Security of credentials;

• Software licensing compliance;

• Activities conducted through your account;

• Compliance with applicable laws.

Customers must maintain appropriate security controls including strong passwords, software updates, access management, and malware protection.

Failure to maintain adequate security may result in service suspension where such failure threatens platform security.

7. CUSTOMER CONTENT

Customers retain ownership of all lawful content hosted through the Services.

By using the Services, you grant ThrinServers a limited, non-exclusive, worldwide license to process, store, transmit, replicate, and display Customer Content solely for the purpose of delivering the Services.

ThrinServers does not claim ownership of Customer Content.

We may remove or disable access to content that:

• Violates applicable laws;

• Infringes intellectual property rights;

• Presents security risks;

• Violates our Acceptable Use Policy;

• Is subject to lawful government requests.

8. DATA PROTECTION

ThrinServers processes personal data in accordance with:

• Nigeria Data Protection Act (NDPA) 2023;

• General Application and Implementation Directive (GAID) 2025;

• Our Privacy Policy.

Where ThrinServers processes personal data on behalf of customers, ThrinServers may act as a Data Processor while the customer remains the Data Controller.

Customers remain responsible for ensuring that their use of the Services complies with applicable data protection laws.

9. BILLING, FEES, AND PAYMENTS

9.1 Service Fees

Customers agree to pay all fees associated with purchased services.

Fees may include:

• VPS Hosting Fees
• Dedicated Server Fees
• Cloud Infrastructure Fees
• Storage Fees
• Domain Registration Fees
• SSL Certificate Fees
• Managed Service Fees
• Setup Fees
• Bandwidth Overage Charges
• Taxes and Government Levies

All prices are displayed in the applicable billing currency unless otherwise stated.

9.2 Billing Cycles

Services may be billed:

• Monthly
• Quarterly
• Semi-Annually
• Annually
• Pay-As-You-Go

9.3 Renewals

Services renew automatically unless cancelled before the renewal date.

9.4 Failed Payments

Failure to pay invoices may result in:

• Service suspension
• Service restriction
• Service termination
• Data deletion after retention periods

9.5 Chargebacks

Initiating an unjustified chargeback may result in:

• Immediate suspension
• Account review
• Service termination
• Debt recovery proceedings

10. ACCEPTABLE USE

Users shall not use the Services to:

Illegal Activities

• Violate applicable laws
• Facilitate criminal conduct
• Host illegal content

Security Violations

• Unauthorized access attempts
• Port scanning
• Network probing
• Credential theft

Malicious Activities

• Malware distribution
• Ransomware
• Botnets
• Phishing

Network Abuse

• Spam
• DDoS attacks
• Traffic flooding

Fraudulent Activities

• Ponzi schemes
• Investment fraud
• Identity theft
• Scam websites

Child Exploitation

Content involving child exploitation is strictly prohibited and may be reported to law enforcement authorities immediately.

Violations may result in immediate suspension without notice.

11. SERVICE AVAILABILITY AND MAINTENANCE

ThrinServers strives to maintain high service availability.

However, Services may be interrupted due to:

• Scheduled maintenance
• Emergency maintenance
• Security incidents
• Infrastructure failures
• Third-party outages
• Force majeure events

Service availability commitments may be further governed by a separate Service Level Agreement (SLA).

12. BACKUPS AND DATA RECOVERY

Customers remain solely responsible for maintaining independent backups.

Unless expressly stated in a purchased backup plan:

• Backups are not guaranteed.
• Recovery is not guaranteed.
• Data preservation is not guaranteed.

ThrinServers shall not be liable for data loss.

13. SECURITY RESPONSIBILITIES

Customers must:

• Use strong passwords
• Enable multi-factor authentication where available
• Maintain secure applications
• Apply software updates
• Monitor account activity

Customers are responsible for vulnerabilities originating from their applications or systems.

14. SUSPENSION OF SERVICES

We may suspend Services immediately if:

• Payment is overdue
• Abuse is detected
• Security risks arise
• Legal requests are received
• Terms are violated

Suspension does not relieve payment obligations.

Where feasible, notice will be provided.

15. TERMINATION

By Customer

Customers may terminate Services through the client portal or by written request.

By ThrinServers

We may terminate Services for:

• Material breaches
• Fraud
• Repeated abuse
• Illegal activities
• Regulatory requirements

Upon termination:

• Services may cease immediately.
• Data may be permanently deleted after retention periods.
• Outstanding invoices remain payable.

16. INTELLECTUAL PROPERTY

All intellectual property relating to:

• ThrinServers
• Software
• APIs
• Documentation
• Branding
• Trademarks

remains the exclusive property of Thrin Check Limited.

Nothing in these Terms transfers ownership rights to customers.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

ThrinServers shall not be liable for:

• Loss of profits
• Business interruption
• Revenue loss
• Data loss
• Reputation damage
• Indirect damages

Our aggregate liability shall not exceed the total fees paid by the customer during the preceding three (3) months for the affected service.

Nothing excludes liability that cannot legally be excluded under Nigerian law.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Thrin Check Limited and its directors, officers, employees, contractors, affiliates, and agents against claims arising from:

• Your use of Services
• Your content
• Your customers
• Your violation of these Terms
• Your violation of applicable laws

This obligation survives termination.

19. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

Informal Resolution

Parties shall first attempt to resolve disputes through good-faith negotiations within thirty (30) days.

Arbitration

If unresolved, disputes shall be referred to arbitration under the Arbitration and Mediation Act 2023.

The arbitration shall:

• Be conducted in Lagos, Nigeria;
• Be conducted in English;
• Be presided over by a single arbitrator;
• Produce a final and binding decision.

Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

20. FORCE MAJEURE

ThrinServers shall not be liable for delays or failures resulting from events beyond reasonable control, including:

• Natural disasters
• War
• Terrorism
• Government actions
• Internet failures
• Power outages
• Cyberattacks
• Telecommunications failures

21. CHANGES TO THESE TERMS

We may update these Terms periodically.

Material changes will be communicated through:

• Website notices
• Email notifications
• Client portal announcements

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
